Terms and Conditions for "ClickASave" - UK

1.      Introduction 

Welcome to "ClickASave." These Terms and Conditions ("Terms") govern your use of our online retail website, its services, and your interactions with us. By using our website www.clickasave.com and making a purchase, you agree to be bound by these Terms. If you do not agree to these Terms, please do not continue to use our website.

2. Definitions

3. Acceptance of Terms

3.1 By using our website, you affirm that you are of legal age and have the capacity to enter into a binding contract. If you are using the website on behalf of an organisation, you warrant that you have the authority to bind the organisation to these Terms.

3.2 Please review these Terms of Sale carefully, as they are applicable when you make purchases from our Website. These Terms of Sale will be binding upon your acceptance when you place an order for products through the Website, thereby becoming an integral part of the sales contract (referred to as the "Contract of Sale") between you and us.

3.3 We reserve the right to modify or update these Terms of Sale, and any changes will be reflected by posting updated versions on our Website. The date of the latest version will be provided at the top of this page for your reference. Nevertheless, the Terms of Sale in effect on the Website at the time of your order placement will govern the specific purchase and the resulting Contract of Sale.

3.4 Alongside these Terms of Sale, the ClickASave Returns Policy is equally applicable to any Contract of Sale you establish with us.

4. Contract of Sale

4.1 You must be at least 18 years old to place an order for products on the Website, which we refer to as an "Order."

4.2 To place an Order on our Website, add the product(s) you want to purchase to your cart and complete the necessary details during the checkout process. If a product becomes unavailable between adding it to your cart and proceeding to place your Order, you will be prompted to remove that product before continuing with the checkout. If this results in an empty cart, you won't be able to proceed with the checkout.

4.3 During the order process, you can review and correct any errors before submitting your Order. Please double-check these details carefully because once your order is submitted, it will be processed immediately. You are responsible for ensuring the completeness and accuracy of your Order.

4.4 The billing address you provide at checkout must match the information on your credit or debit card, but you can request delivery to a different, more convenient address.

4.5 When you're ready to place your Order, by clicking the "PAY NOW" button youconsent to being legally bound by these Terms of Sale.

4.6 Sometimes, we may prevent the submission of an Order for various reasons, such as:

4.6.1 A product has been priced incorrectly, or there is an error in the price or product description.

4.6.2 Your location is outside our designated delivery areas.

4.6.3 We can't meet a specified delivery deadline.

4.6.4 Unusual or suspicious activity related to your Order is detected. Our products are intended for personal use only. If we suspect they are being used for business or resale, we may cancel the order. If you believe we've made a mistake, you can contact us through the 'CONTACT US' section above.

4.7 Your Order is an offer to purchase products from us. When you place an Order, we'll send you an email confirming receipt of your Order ("Order Acknowledgment"). Please note that the Order Acknowledgment doesn't mean we've accepted your Order.

4.8 If we accept your order, we'll send you a confirmation email ("Confirmation Email"). These Terms of Sale become legally binding for both you and us when we send you the Confirmation Email. Each Order forms a distinct and separate Contract of Sale between you and us.

4.9 In your Order Confirmation, we'll assign a number to your Order, which will help us if you need to contact us about your Order. We'll also confirm the delivery date or time frame, as applicable.

4.10 The Order process is only available in the English language, and we won't keep a copy of any Contract of Sale formed between you and us.

4.11 Cancellation of your Order

4.11.1 There are situations where we may need to cancel your Order after you've submitted it. This could be necessary:

(a) To address an urgent situation or emergency.

(b) To deal with technical problems or make minor technical adjustments.

(c) To address legal or regulatory advice or guidance.

(d) To comply with or reflect changes in relevant laws and regulatory requirements.

(e) To make necessary changes to the product.

(f) To address unforeseen product unavailability or stock issues.

4.11.2 If we need to cancel your Order in line with clause 4.11.1, we'll notify you via email as soon as reasonably possible. If you haven't made a payment, you won't be charged. If payment has already been accepted, we'll provide a full refund for the product(s) that can't be fulfilled.

5. Website

5.1 We reserve the right to periodically update and modify our Website to align with changes in our product offerings, the evolving needs of our users, and our business priorities.

5.2 We cannot guarantee the continuous availability, uninterrupted operation, or error-free performance of our Website. Access to our Website is granted on a temporary basis.

5.3 Occasionally, routine maintenance may be conducted on the Website, resulting in temporary periods of inaccessibility.

Nevertheless, products may undergo improvements or updates, leading to changes in product details, ingredients, nutritional content, and allergy advice. It is strongly advised that you always consult the actual product label on the item you've purchased before using or consuming it. Relying solely on the information presented on this site is not recommended. Therefore, ClickASave cannot be held responsible for any inaccuracies or incorrect product information displayed on this site. Please note that this does not affect your legal rights.

6.4 Products are periodically made available on the Website. We do not guarantee the continuous availability of any product, and we retain the right to modify the product offerings on the Website at our discretion.

6.5 Certain items are restricted to customers of a specific age, typically 18 or 21 years old. This requirement will be clearly indicated during the checkout process. We adhere to a 'challenge 25, serve 18' policy. Clause 7.4 pertains to the delivery of age-verified products.

6.6. By placing an order through our website, you agree to pay the specified price for the product(s) and any applicable taxes and shipping fees. 

6.7 The prices you see on our website are in British Pounds (£). Sometimes, the price might change, but we'll always let you know before you agree to buy something. You can then decide if you still want to buy it.

6.8 All prices displayed include the applicable Value Added Tax (VAT) at the prevailing rate. In the event of any omission or error in any order form, quotation, price list, order acknowledgement, dispatch note, invoice, or any other document issued by us, we retain the right to make necessary corrections without incurring any liability.

6.9 Prices may change periodically, but the price that applies when you place your Order will be the one that applies to your Order. It's important to note that if a sale or promotion starts after you've already placed your Order, and the current price is lower than what you paid, you won't be eligible for a retroactive discount on your existing Order.

6.10 We always aim to keep the pricing on our Website accurate and up-to-date. However, there's a chance that some pricing on our Website may contain errors. In such cases, we may decline to process any Order based on inaccurate or incorrect information, including incorrect product or delivery pricing. If we discover such a mistake after your Order has been placed, we will contact you via email. You'll have the option to either purchase the product at the correct price or cancel your Order.

6.11 Payment for orders can be made through the payment methods offered on the website. We use secure payment processing, but we are not responsible for any breaches or unauthorised access to your payment information.  For your convenience and peace of mind, we use Sage Pay as our trusted payment gateway. Sage Pay is a secure and reliable platform that ensures your transactions are safe and seamless.

6.12 Please be aware that we retain the right to withdraw or suspend any payment options or methods at our discretion, without notice.

6.13 By using a Payment Method, you confirm that the card or bank account belongs to you or that you have obtained proper authorisation from the account holder to use it. If you use a Payment Method without proper authorisation, you will be held liable for any losses we incur due to your unauthorised use of that Payment Method. If your payment is not authorised, your Order will not be fulfilled.

7. Delivery 

7.1 We provide delivery services within the United Kingdom, which includes Northern Ireland. For a detailed list of areas we cover and those we do not, please refer to our Delivery Page.

7.2 Delivery Options, Costs, and Timings

7.2.1 The latest information on available delivery options, costs, and delivery times can be found on our Delivery Page.

7.2.2 Please note that not all delivery options may be accessible to you, as availability depends on your specific postal address. Next Day delivery may not always be guaranteed due to varying cut-off times based on demand. Availability of Saturday delivery services may also vary. You will receive confirmation of the delivery options during the checkout process for each individual order. 

7.2.3 Delivery costs will depend on the chosen delivery option and will be confirmed during the checkout process for each order.

7.3 Delivery Notifications

7.3.1 Once your order is dispatched, you will receive an email containing courier details and a tracking number to monitor the delivery's progress. Subsequent updates regarding delivery will be provided directly by our courier.

7.3.2 Once the product is shipped, the delivery timeframe may vary depending on your location. We will make reasonable efforts to ensure that your order is shipped to the address provided in a timely manner. However, we are not responsible for delays or issues caused by third-party delivery services.

7.4 Secure and Age-Verified Deliveries - To receive secure or age-verified products, it is essential to ensure that you or an authorised representative is present at the selected delivery address to confirm delivery, verify age, or provide a signature, as applicable. If you won't be available at the specified delivery date or time, you must make separate arrangements with the courier.

7.5 Missed Deliveries

7.5.1 In the event that no one is available at your address to receive the delivery, our courier will send you an email with further instructions.

7.5.2 If, after an unsuccessful delivery attempt, you do not make alternative arrangements with the courier as outlined in clause 7.6.1, the courier will return the parcel(s) to us within their designated timeframe.

7.5.3 If, despite our best efforts, we are unable to reach you or reschedule delivery or collection, we may terminate the Contract of Sale. In such cases, we will deduct from any applicable refund an amount equivalent to: (a) the expenses incurred in handling the unsuccessful delivery (such as courier return costs and storage fees); and (b) the decrease in value of any returned products.

7.6 Delivery Delays

7.6.1 If we are unable to deliver within the initially communicated timeframe, as indicated in your Order Confirmation, we will contact you promptly to inform you and arrange an alternative delivery schedule.

7.6.2 Should your delivery be delayed due to factors beyond our control (e.g., postal/courier delays or adverse weather conditions), we will get in touch with you as soon as possible to explain the measures taken to mitigate the delay. While we make every effort to adhere to the agreed-upon delivery time, we will not be held responsible if delivery failure is due to circumstances beyond our control.

8. Cancellations, Returns, Refunds & Exchanges

8.1 Your rights of cancellation. You have the right to cancel your order within 14 days from the day you receive your items, without providing any reason. To exercise this right, please notify us in writing via email within the cancellation period.

8.1.1 You may change your mind, cancel the Contract of Sale between you, and receive a refund on the conditions that:

(a) you have notified us of your decision to cancel in accordance with clause 8.1.4; and

(b) you have returned the products to us within 14 days from the day you receive the items, in accordance with our Returns Policy.

8.2 If you cancel your order within the cancellation period, we will reimburse all payments received from you, including the cost of standard delivery. Any additional delivery costs resulting from choosing a different delivery method will not be refunded. We will process your refund promptly, but it may take up to 14 days to be completed.

8.3 The exceptions, where you will not have the right to change your mind and receive a refund, are in the case of products that are:

      (a) bespoke, “made to order”, created to your specification or clearly personalised;

      (b) sealed for health protection or hygiene purposes, if you have received these items and unsealed them;

      (c) perishables, such as flowers or fresh food or drink products;

      (d) sealed audio, video recordings or computer software, if you have received these items and unsealed them;

      (e) pharmaceutical products, if the hygiene sealed packaging has been opened or tampered with;

      (f) pierced jewellery items, if the hygiene sealed packaging has been opened or tampered with; and

      (g) underwear or swimwear, if the hygiene label has been removed or tampered with.

8.4 To inform us of your decision to cancel your Contract of Sale, you must contact us by making a clear statement. The easiest way to do this is to contact our Customer Services team at info@clickasave.com.

8.5 We will send you an acknowledgement of receipt of your notice to cancel by email.

8.6 We will make the refund without undue delay, and not later than:

      (a) 14 days after the day we receive back from you any products supplied;

      (b)(if earlier) 14 days after the day you provide evidence that you have returned the products; or

      (c) if there were no products supplied, 14 days after the day on which we are informed about your decision to cancel your Contract of Sale.

8.7 We may withhold a refund until we have received the products back or you have supplied evidence of having sent back the products, whichever is the earliest.

8.8 We may make a deduction from the reimbursement for loss in value of any products supplied, if the loss is the result of unnecessary handling by you. You are only liable for any diminished value of the products resulting from the unfair and/or unreasonable wear and tear of the products other than what is necessary to establish the nature, characteristics and functioning of the products. We may make a deduction from any refund for such loss in value of any products we supply.

8.9 You have legal rights in relation to products you receive that are not of satisfactory quality; fit for purpose; or as described to you. If you believe that any products that you have ordered do not conform with these Terms of Sale, please contact our Customer Services Team to request a replacement or refund.

8.10  If you wish to return a product after the cancellation period has expired, you may do so within 28 days from the day you receive the items, provided the product meets the conditions outlined in our Returns Policy.

8.10.1 If you wish to exercise your rights to a refund under this clause, you must return those products in accordance with our Returns Policy which you can access here.

8.10.2 You are responsible for the cost of returning the goods unless they are faulty or not as described.

8.10.3 You are responsible for taking reasonable care of the products until they are returned to us. You must comply with the directions in the Returns Policy when returning products to us and this includes the recommendation to keep proof of postage for your records. We will be unable to provide you with a full refund if the products are not returned to us or if they are damaged when they arrive.

8.10.4 Any refund due to you will be made using the same means of payment as you used for the initial transaction; you will not incur any fees as a result of the reimbursement.

8.11 Return Criteria: Products being returned after the cancellation period must be in their original condition and packaging.

8.11.1 Non-Refundable Items - Certain items, such as gift cards or personalised products, are non-refundable unless they are faulty. Full list can be found in 8.3

8.12 Refund or Exchange: We offer the option of a refund or exchange for items returned within 28 days of receipt, subject to the conditions of our Returns Policy.

8.12.1 Exchange Process

If you wish to exchange a product, please contact our customer support team. We will provide instructions for the exchange process.

8.12.2 Exchange Eligibility

Exchanges are subject to product availability. If the desired replacement product is not available, we will process it as a return and issue a refund.

8.13  Refund Criteria - Refunds will be issued within 14 days of us receiving the returned items or evidence that you have returned the goods, whichever is earlier. Refunds will be made using the same payment method used for the original purchase.

The content, design, and intellectual property on our website are protected by copyright and other applicable laws. You agree not to use, reproduce, or distribute any of our intellectual property without our express written consent.

11. Limitation of Liability

11.1 These Terms of Sale do not exclude or limit our liability in the following cases:

11.1.1 In instances of our negligence leading to death or personal injury.

11.1.2 In cases of fraud or fraudulent misrepresentation.

11.1.3 Any matters in which it is unlawful for us to restrict our liability.

11.2 These Terms of Sale do not affect your statutory rights. For information about your statutory rights, you can consult your local Citizens' Advice Bureau or Trading Standards Office.

11.3 If we fail to adhere to these Terms of Sale, we are accountable for any foreseeable loss or damage you suffer due to our breach of these Terms or our negligence. However, we are not liable for loss or damage that is not foreseeable. Loss or damage is foreseeable if it was a clear consequence of our breach or if it was anticipated by both parties at the time you accessed the Website.

We shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of your use of our website or the products and services we offer.

11.4 The Website is intended solely for domestic and private use. You agree not to use the Website or its content for commercial or business purposes. We hold no liability for any loss of profit, business interruption, or missed business opportunities.

11.5 The Website may occasionally feature links to third-party websites. You are responsible for determining whether to access such websites, and your use of them is governed by their respective terms and policies. We do not assume responsibility for the content of linked websites, including those of our commercial sponsors and partners. 11.6 Subject to clauses 11.1 and 11.2, as well as the provisions in clauses 11.3, 11.4, and 11.5, our maximum liability to you under these Terms of Sale for a specific Order is limited to the value of that Order, including any associated delivery charges, as specified in the relevant Confirmation Email.

12. Other

12.1 In case a court deems certain parts of this agreement invalid, the remainder will remain in effect - If a court or any other authorised body determines that some of these terms are illegal or void, the remaining terms will still remain valid and in force.

12.2 This contract is solely between you and us, and no one else can enforce it - This agreement pertains only to the parties involved, which are you and us. No third party can enforce it, and neither of us will require external approval to terminate or modify it.

12.3 We reserve the right to transfer our rights and responsibilities under any order to another organisation, but this will not impact your own rights or responsibilities.

12.4 These terms might be updated periodically to accommodate changes in applicable laws and regulations or modifications to our business operations. Nevertheless, the Terms of Sale that are in place at the time of your order will continue to be valid for that specific order.

12.5 Even if we delay in enforcing this contract, we can still enforce it later - We may not immediately take action if you fail to fulfil certain obligations, such as making a payment or if you engage in unauthorised actions. However, our decision not to take immediate action will not prevent us from enforcing the contract at a later time. If we do decide to waive a breach of contract on your part, we will only do so in writing, and this will not automatically mean that we waive any future breaches on your part.

13. Applicable Law:

13.1 English law governs these Terms of Sale. This means that your use of the Website, the purchase of products, and any disputes or claims arising from them, including non-contractual disputes or claims, are subject to English law.

13.2 You have the option to resolve any disputes arising from these Terms of Sale either in the competent court of England or in the competent court of your habitual residence within the United Kingdom. These courts, to the exclusion of others, are authorised to settle such disputes. We will address any disputes arising from these Terms of Sale in the competent court of your habitual residence if it's located within the United Kingdom. Otherwise, we will use the competent court of England.

13.3 If you are a UK resident and a consumer, and we target the Website in the country in which you reside or conduct our commercial or professional activities related to the Website in that country, you are entitled to the protections of your local mandatory laws. These Terms of Sale do not affect your rights as a consumer to rely on such mandatory local legal provisions.

13.4 These Terms are governed by the laws of the United Kingdom, and any disputes shall be subject to the exclusive jurisdiction of the courts in the United Kingdom.
